Most disputes start from a clause that nobody read carefully. A vague date, a missing payment term or an unfair penalty can cost far more than a review. Our document review service is built to be simple: you send the draft, we send it back with the changes marked clearly, and we stay with you until it is ready to sign. You do not need to be in Bengaluru. We work online with clients across India and abroad.
What documents can we review?
- Property: agreement to sell, sale deed, gift deed, release deed, joint development agreement, builder-buyer agreement, lease and rental agreements
- Business: service and vendor agreements, partnership and LLP agreements, shareholder and founder documents, NDAs, MoUs, distribution and franchise agreements
- Employment: offer letters, employment contracts, consultancy agreements, non-compete and notice-period clauses
- Finance: loan agreements, guarantees and security documents
If you do not see your document here, send it anyway. We will tell you honestly whether we can help.
How your reviewed draft looks
We work in Word track changes, so you see exactly what we changed and why.
Red = removed Green = added or changed Cream box = our comment explaining why.
What you get with every review
What we look at in a sale agreement or sale deed
- Names, addresses and capacity of every party, and whether all co-owners are included
- Property description, survey or site number, boundaries and measurements, matched against the documents
- Price, advance, payment schedule and the date for registration
- Who bears stamp duty, registration fee and the 1% TDS (for deals of ₹50 lakh and above)
- Possession, khata transfer and handover of original documents
- Seller’s promises about clear title, and what happens if they turn out to be false
- Penalty, refund and cancellation terms if either side backs out
- Clauses on loans, mortgages, tenants, pending cases and dues
This review checks the agreement. If you also want the ownership history verified, we can do a separate title check.
What we look at in a commercial contract
- Scope of work, deliverables and timelines
- Payment terms, taxes, late payment interest and termination for non-payment
- Limits on liability, indemnities and penalties
- Ownership of work and intellectual property
- Confidentiality, and whether restrictions on you are valid (see our note on non-compete clauses)
- Termination, notice, renewal and what survives after the contract ends
- Governing law, arbitration or court jurisdiction, and stamp duty
How it works
Flat fee, no surprises
Our fee is fixed after we see your document. It depends on the effort involved: the length and complexity of the draft, the number of rounds you expect, how urgent it is, and whether you want us to speak to the other side. You get the quote before any work starts, and the fee does not grow with the number of emails or calls on the same draft.
Why a review is worth it
- Prevents disputes: unclear clauses are the usual cause of court cases
- Saves money: correcting a draft costs a fraction of fighting over it later
- Saves time: you get an organised list of what to change and what to accept
- Gives you confidence: you know what you are signing
- Works from anywhere: NRIs and busy professionals can handle everything by email, phone and video
Who uses this service
- Home buyers and site buyers before paying an advance
- Sellers and landlords who want a balanced draft
- Tenants checking a lease before moving in
- Start-ups, freelancers and small businesses signing client or vendor contracts
- Employees reading an offer letter or exit terms
- Buyers, sellers and businesses in other cities and states, and NRIs abroad
Work with us from anywhere in India (or abroad)
You do not need to visit the office or even be in Bengaluru. Share documents on WhatsApp or email, talk to us by phone or video call, and receive the reviewed draft by email. Clients in other cities, other states and abroad use the service the same way. If you prefer to meet, our office is in Malleshwaram, Bengaluru.
What about laws that differ by state? Contract law and most agreement principles are the same across India. Stamp duty, registration fees, land records and approvals differ from state to state. For a property outside Karnataka, we review the agreement and flag the points that depend on local rules, so that you can confirm them with the local Sub-Registrar office or a local advocate. For Karnataka and Bengaluru properties we cover those points ourselves.

Points to remember
- A review advises you on the draft. It does not guarantee how a court or the other party will act.
- Reviewing is different from drafting a new agreement from scratch. If you need a fresh draft, tell us and we will quote for that separately.
- Negotiation and finalisation: if you need us to negotiate with the other party or their lawyer and finalise the agreement, we do that as well. Tell us when you ask for the quote, and it will be included in the flat fee.
- Share the final or near-final version. Review works best before signing, and not after the money has moved.
Frequently asked questions
I live outside Bengaluru, in another state or abroad. Can you still review my agreement?
Yes. Everything is done online by email, WhatsApp, phone and video call. For property outside Karnataka we review the agreement and point out the state-specific items to verify locally.
How much does a document review cost?
We charge a flat fee based on the effort required. Send us the draft and we will quote the fee before starting. There is no obligation.
What is “track changes”?
It is a Word feature that shows each addition and deletion in colour, with comments in the margin. You can accept or reject each change with one click.
I only have a PDF. Can you still review it?
Yes. We can mark up the PDF or retype the key clauses into Word. A Word file is easier and saves time.
Can you review an agreement the other party’s lawyer has drafted?
Yes. This is very common. We check the draft from your side and suggest the changes you should ask for.
Can you negotiate and finalise the agreement with the other party?
Yes. If negotiation and finalisation with the other party or their lawyer is required, we do that too. We communicate your changes, handle the replies and help you reach a final version ready for signing. Tell us when you ask for the quote.
How long does it take?
It depends on the length and complexity. We confirm the time with the quote, and urgent drafts can be discussed.
Do I need a title check as well?
A review looks at the agreement. A title check verifies ownership documents of the property. For a purchase, you may want both.
Is my document kept confidential?
Yes. We treat everything you share as confidential.
Send your draft and a line about your requirement. We will reply with a fixed fee and timeline. Hemanth & Associates, Malleshwaram, Bengaluru.
